Terms of Service

Effective Date: March 1, 2026

Please read these Terms of Service (“Terms”) carefully before accessing or using the Breadable Rise platform (“Platform”) operated by Breadable, LLC (“Breadable,” “we,” “us,” or “our”). By creating an account or using the Platform in any manner, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must immediately discontinue use of the Platform.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and Breadable, LLC. By accessing the Platform, you represent that you are at least eighteen (18) years of age, have the legal capacity to enter into this agreement, and are not barred from receiving services under applicable law.

2. Description of Service

Breadable Rise provides data analytics and informational reporting tools designed to assist real estate professionals in evaluating potential property acquisitions. The Platform aggregates publicly available and licensed property data and applies Breadable’s proprietary AI to generate analytical outputs including, without limitation, estimated after-repair values, rehabilitation cost estimates, maximum allowable offer calculations, and negotiation guidance (collectively, “Reports”).

3. No Financial, Legal, or Appraisal Advice

THE PLATFORM IS AN INFORMATIONAL DATA ANALYTICS TOOL ONLY. Nothing on the Platform constitutes financial advice, investment advice, legal advice, tax advice, or a real property appraisal. Breadable, LLC is not a registered investment adviser, broker-dealer, mortgage lender, licensed appraiser, or fiduciary of any kind. No output generated by the Platform should be construed as a recommendation to buy, sell, or hold any asset or security.

You acknowledge that real estate investment involves substantial risk, including the risk of complete loss of capital. Before making any investment decision, you are solely responsible for conducting your own independent due diligence and should consult qualified legal, financial, and appraisal professionals licensed in the relevant jurisdiction.

4. AI Accuracy, Limitations, and Assumption of Risk

Reports generated by the Platform are produced using Breadable’s proprietary AI and third-party data sources. These outputs are estimates based on available data and statistical models. They are inherently probabilistic and subject to error, omission, and market fluctuation.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • All AI-generated rehabilitation estimates, after-repair value calculations, and maximum allowable offer figures must be independently verified by qualified professionals prior to any capital deployment.
  • Breadable, LLC makes no warranty, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any Report.
  • Breadable, LLC assumes zero liability for any investment losses, missed opportunities, contractor cost overruns, title defects, or adverse market conditions arising from your reliance on any Platform output.
  • You assume all risk associated with the use of AI-generated data in your investment decision-making process.

5. Accounts and Access Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Breadable immediately of any unauthorized use of your account. Breadable reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

6. Subscription, Free Trial, and No-Refund Policy

Breadable offers a seven (7) day free trial period for new users. At the conclusion of the free trial, access to the Platform’s paid features requires a paid subscription (“Subscription”). By initiating a Subscription, you authorize Breadable or its payment processor to charge your designated payment method on a recurring basis at the applicable rate.

ALL SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE. Because the Platform delivers digital information products and AI-generated analytical outputs upon access, and because a free trial is offered to evaluate the Platform prior to purchase, no refunds, credits, or prorations will be issued for any partial subscription period, unused analytical reports, or any other reason. This policy applies to the maximum extent permitted by applicable law.

You may cancel your Subscription at any time. Cancellation will take effect at the end of the current billing cycle. Breadable does not provide refunds for unused portions of any billing period following cancellation.

7. Intellectual Property

All content on the Platform, including but not limited to the Platform’s AI architecture, software, algorithms, design, trademarks, and text, is the exclusive property of Breadable, LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your personal or internal business purposes. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Platform without prior written consent from Breadable.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable regulation;
  • Resell, redistribute, or sublicense access to Reports or Platform outputs;
  • Attempt to circumvent any security measure, access restriction, or paywall;
  • Scrape, harvest, or systematically extract data from the Platform by automated means;
  • Upload or transmit any malicious code, virus, or disruptive data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BREADABLE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF BREADABLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BREADABLE’S AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO BREADABLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Breadable, LLC and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party right.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising under or in connection with these Terms shall be submitted to binding arbitration administered in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction.

12. Modifications to Terms

Breadable reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, by email notification. Your continued use of the Platform following such notice constitutes acceptance of the revised Terms.
